Mark Dorff is the managing director of the Firm’s Corporate & Capital Markets Department and is actively involved in the Firm’s Corporate, Technology, Life Sciences and Brand & Reputation Management practice and industry groups.

Mark represents entrepreneurs, private and public companies, sports and entertainment clients, and a broad range of investors, including family offices and private equity investors, in complex cross-border transactions around the world.

Mark is chairman emeritus of the Law Firm Network. The Network forms a key part of Brown Rudnick’s extended global network.

Mark is ranked in Chambers for Private Equity: Venture Capital Investment and is a “Leading Individual” in The Legal 500 for Venture Capital and M&A: Smaller Deals, £10M-£100M. Jennifer Ihns Charles is a partner in Brown Rudnick’s Transactions Practice Group with over a decade of experience advising on complex transactions. She represents corporations, partnerships, and limited liability companies in mergers and acquisitions, financial transactions, and day-to-day operations across industries such as transportation, life sciences, media, manufacturing, and IT infrastructure.

Jennifer structures transactions and negotiates asset sales, stock acquisitions, mergers, private placements, venture capital transactions, hedge funds, and lending transactions. She also advises investors, issuers, lenders, and borrowers in joint ventures and equity investments.

Committed to pro bono work, she collaborates with organization like Lawyers for Civil Rights and the Lawyers Alliance. She speaks fluent Portuguese and conversational Spanish.

Her notable representations include Adams Clinical in its sale to InTandem Capital Partners, Northwest Broadcasting in its $384 million sale to Apollo Global Management, and ARMA Holdings in the sale of ARMA Global to General Dynamics. She also worked on Queensgate Investments’ $400 million acquisition of Freehand Hotels and NES Associates’ $105 million sale to CSRA Inc. Her financing experience includes representing Stanley Black & Decker in multi-million dollar transactions and advising a Korean company on convertible note investments. Her additional expertise spans corporate financing, real estate transactions, and regulatory compliance.
